On February 12, 2004, the Vereniging
van Effectenbezitters (“VEB”) filed an
action before the Enterprise Chamber of the Amsterdam Court of
Appeal (“Enterprise Chamber”) seeking an investigation
into possible mismanagement at Ahold. Lead Plaintiff COPERA intervened
in this proceeding on June 2, 2004. Following a hearing conducted
on June 17 and 18, 2004, the Enterprise Chamber issued a January
6, 2005 decision finding:

That the VEB and COPERA had
demonstrated that there are proper grounds to believe that there
was mismanagement at Ahold during the period from January 1,
1998 through December 31, 2003;
-
COPERA should be admitted
as an interested party in the proceedings; and
-
An investigation should be conducted and
Royal Ahold N.V. should finance the costs of the investigation.
 The investigators appointed by
the Enterprise Chamber are continuing their investigation.
